NOTICE of Special General Meeting
Notice is hereby given that a special general meeting of Theatre Heritage Australia Inc. will be held by ZOOM on Saturday 5th June 2021, commencing at 11.00 am sharp.
The purpose of the 2021 Special General Meeting will be to consider and vote on a Special Resolution for Theatre Heritage Australia Inc to adopt new rules.
1.0 Adoption of New Rules
To consider and if thought appropriate adopt the proposed new rules for the association as approved by the THA Committee at their meeting on 12 May 2021. (See the link below to download the proposed new rules.)
These new rules are based on the latest Model Rules required under the Associations Incorporation Reform Act 2012 (Victoria) and the Public Fund special clauses required by the Register of Cultural Organisations (ROCO).
Any changes to the model rules and clauses have been highlighted in yellow. Also highlighted are the association’s purpose, main activities and Public Fund name.
The following are the Committee’s reasons:
(a) Generally to amend our rules and purposes to better clarify our charitable status and therefore our eligibility for tax deductibility as required by the Register of Cultural Organisations (ROCO) and the Australian Tax Office.
(b) Also to adopt the latest Model Rules and bring us into conformity with the Associations Incorporation Reform Act 2012 (Victoria), and
(c) To adopt the special clauses relating to the establishment of a Public Fund as required by the Register of Cultural Organisations (ROCO).
That the new rules be adopted by the Association, replacing the existing ones.

If you are attending VIA ZOOM, the link to the ZOOM meeting will only be sent to those who have RSVPd by the closing date. The ZOOM link will be sent on Wednesday 2 June 2021.

If you are unable to attend the special general meeting on June 5, under Rule 19.1 of the current THA rules, you are still able to lodge your vote by proxy. Members are entitled to appoint another member as a proxy by notice given to the Secretary no later than 24 hours before the time of the meeting in respect of which the proxy is appointed.

What is ZOOM?
ZOOM is a web-based video conferencing tool that allows users to meet online, with or without video.
How do I join a meeting?
You can join a meeting by clicking the meeting link or going to join.zoom.us and entering in the meeting ID provided by the meeting organiser.
Alternatively, you can join the meeting via audio only by simply dialling in on your phone, using the phone number provided by the meeting organiser.
Do I need an account to use ZOOM?
A ZOOM account is not required if you are simply joining a ZOOM meeting as a participant. However you will need to download the free ZOOM software to join a meeting. A link to the software will be provided in the meeting invitation.
If joining the meeting by phone, you do not need to download the software.
Do I need a webcam to join on ZOOM?
While you are not required to have a webcam to join a ZOOM meeting, you will not be able to transmit video of yourself. You will continue to be able to listen and speak during the meeting, share your screen, and view the webcam video of other participants.
